Meet The Board Event - 27th August

For those not there….

last years accounts , still being audited, showed a small surplus but this turned into small deficit after depreciation and spending £60k on the JHS roof. It was described as more or less breakeven outcome.

we have a  £175k cash buffer and the objective is to maintain that over the next financial year.

I would have thought the figures for the period to 31st May '26 would have been a bit better given the cup runs. In the recent interview with Craig and Sandy, Craig said there was work about to start on the JHS roof and there is work to get done on the Colin Weir Stand so it does look like keeping the stadium up to scratch is becoming more of an issue with regards to breaking even.

No oil reserves found under the bing I take it!

Important technical point here. I think you may have misunderstood what Sandy said on this.

He didn’t say the cash buffer was £175k. He said the cash position improved by roughly that amount over a 12 month period.

The cash in the bank is much higher than that, though you’d expect it to be at this point in the season.

Was there a particular reason that highlighted profit after depreciation?

As I wasn't there I will go on the limited info available ~ whilst a roughly breakeven position is welcomed-  it has to be measured against the fact we reached two Cup Quarterfinals & finished second ~ its highly unlikely we budgeted for this additional income based on Previous Seasons ~ it was stated we earned circa £125K fro the Celtic Cup Game - which would include Prize Money - based on the info on Prize Money for Scottish Cup & League position - it wont be far of £300K additional income from Cups & League 

So the reality is that  Season 24/25  we were out of the Cups early & finished 4th = £300K losses - Season 25/26  decent Cup Runs - finished second = Breakeven ~ quite literally Cup & League Prize Money is the difference between Seasons 

As for the £175K improved Cash Position - £60K of that is from Tranche 2 which was advised at the last AGM - previous Board stated we had negotiated the best Kit Deal in our History - so there would be an uplift in cash via that + Senior Staff Members Left & were not replaced halfway through last Season -all of which improve the Cash Position ~   there are minimal Financial Ratios the Board have to adhere to 

As previously stated we are dependant on Cup Runs & Handouts to break even 

As for saying we would have made a Profit without Depreciation & CAPEX Spend on the JHS Roof -   that's simply a nonsensical statement - all accounts have depreciation & CAPEX Spend is budgeted for ~ its like saying if we didn't have to pay wages - we would have made a Profit.

There are also couple of significant changes that were not mentioned at the Meet the Board Night 

The Jlo Shares were sold ~ in previous correspondence Woodland Jag made a point of raising the fact that a 25% Share Voting Block could stop any special resolutions being passed  ~ Now the Jlo 8% to date has never voted since Fan Ownership - but there is now potentially 28% of the Shares that could act in Concert ~ preventing Resolutions from the Thistle Trust passing - that's quite important. 

It was also stated by Woodland Jag that "significant Shareholders" ie those with over 5% are now Consulted on Key decisions ( it was left Vague how this operated ) again this is significant as its New - previous significant Shareholders were Donald McClymont - Jlo & The Jags Trust who own Shares in there own right & Vote as such 

I'm happy to be corrected - however to the best of my knowledge - neither Jlo nor The Jags Trust ( as a separate organisation from the Thistle Trust ) ~were consulted individually on Key Decisions - but now "Significant Shareholders" are now part of the process - with a vague justification as to why

Im fully aware that other Shareholders could act in Concert - however after pointing out the Jlo shares had been sold ( which had not been used in any vote in the last few Seasons) you made a point of raising it - which reasonably can be interpreted  as its now a higher possibility than previously. 
 

you have stated that New Directors should be aligned with the “Main Shareholders” -plural- now as far as I can see - Main means majority - and the expansion of the term is to incorporate other shareholders who have Corporate Governance Rights - this is two individuals & the Jags Trust 

this is a New & Subtle change as it now incorporates a wider grouping ( including individuals with more than 5%) than previous descriptions which were in essence the Thistle Trust ( the Majority / Main Shareholder) 

So your 100% stating that Im incorrect and that  a) only the Board of Directors and b) only the Thistle Trust Trustees make or influence how the Club is run -,and that No individual beyond these Groups  have a say ( exuding the Club Senior Management Group -which is within the Club internal management structure )

 - and for clarity - that includes Directors or Groups like the Jags Trust who are both Directors & Trustees - whilst also separately being  significant shareholders
